Two years ago, AI barely featured in how a business was valued. It sat in the technology narrative alongside everything else, mentioned once in the data room and rarely tested beyond that. Buyers now treat it differently. AI capability has started showing up as a distinct line in how the premium gets built, not just in how the risk gets assessed.
The instinct is to think of AI value at exit in terms of cost saved. Fewer hours on manual work, faster delivery, smaller teams doing more. That is real, but it is not where the bigger premium sits.
Buyers pay more for AI that has changed how quickly the business can move once they own it. A company that ships faster, tests ideas faster, and gets new capability into production faster is worth more to a buyer who is planning to grow it, not just run it. That speed is harder to fake than a cost-saving statistic and harder for a competitor to copy quickly, which is exactly why it commands a premium rather than just getting noted as an efficiency gain.
We wrote in the last issue about how buyers test whether AI capability would survive the person who built it leaving. The flip side of that question is where the real value sits. Capability that is spread across a team, built into how people are hired and how work gets reviewed, holds its value through a transaction in a way that capability sitting with two or three people never does.
We saw this with Freemarket, a cross-border payments business operating under FCA regulation. Speed and compliance usually pull in opposite directions in that environment, so the value wasn't just that AI made engineering faster. It was that the majority of pull requests became AI-assisted while every AI-assisted decision stayed explainable and auditable. That combination, faster delivery without losing the audit trail a regulator expects, is the kind of capability a buyer can underwrite with confidence, because it doesn't depend on any one person staying in the business.
If you are running an engineering function inside a PE-backed business, the question worth asking now is not whether you have used AI, but whether what you have built would still look valuable to someone reading the data room in eighteen months.
The businesses that get the strongest premium for their AI work started building it as a capability from early on, not as a set of individual efficiency wins bolted on close to exit. That is typically where our work begins, helping technology leaders understand which parts of their AI work would actually be recognised and rewarded at exit, and building the parts that are currently missing.
